Terms of Service

These Terms of Service ("Terms") govern your use of Agent Control Panel ("ACP", "we", "us") — the agentic software development platform operated by Five Boroughs Labs FBL. By creating an account, signing in, or otherwise using the service, you agree to these Terms.

If you do not agree, do not use ACP. If you are accepting these Terms on behalf of a company or organization, you represent that you have authority to bind that entity, in which case "you" refers to that entity.

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity under your account, including actions taken by AI agents you authorize to run on your behalf.

Notify us promptly at admin@agentcontrolpanel.dev if you believe your account has been compromised.

ACP's pricing is described on the Pricing page. Solo is free to start. Listed Team prices are catalog only until checkout is live.

Platform wallet. Free Solo builds run on ACP's platform wallet. You do not provide a personal API key to start.

Optional keys. If an administrator later connects a third-party AI provider key, ACP stores it using industry-standard encryption and uses it only to dispatch the inference you authorize. That optional key path is not required for free Solo.

We may change prices with 30 days' notice. Continued use after that period constitutes acceptance.

You agree not to:

• Use ACP to generate content that infringes third-party rights.
• Attempt to access other tenants' data, worktrees, or models.
• Use ACP to build malicious software, including malware, exploits, or tools designed to compromise systems without authorization.
• Reverse-engineer, decompile, or attempt to extract source code from the platform, except as permitted by applicable open-source licenses.
• Interfere with or disrupt the service, including by introducing malicious code, scraping at a rate that degrades performance for other users, or bypassing rate limits.

You own what you put in. You retain all rights to the goals, prompts, code, designs, and other materials you upload to ACP. We do not claim ownership of your project content.

You own what ACP builds for you. Code, pull requests, and other artifacts generated by ACP on your behalf are assigned to you. We do not retain rights to use your outputs outside of operating the service for you.

We own the platform. The ACP software, UI, documentation, and underlying orchestration engine remain our property, protected by copyright and the licenses described in our repository.

When you publish to Community, you grant ACP a worldwide, non-exclusive, royalty-free license to host, display, and distribute that content so other people can browse it on the service. You keep ownership of what you post.

Do not post secrets, credentials, private customer data, or anything you do not have the right to share. Community is public.

We may hide or remove content that is abusive, illegal, or that violates these Terms, and we may suspend accounts that repeatedly do so.

ACP dispatches AI agents to write, review, and test code in isolated git worktrees. Agents are non-deterministic; outputs vary run-to-run. You are responsible for reviewing generated code before it reaches your end users, regardless of whether an agent is marked as a "reviewer" or a "tester".

Free Solo inference runs on ACP's platform wallet. You may later connect your own provider keys on an admin or collaboration account, in which case inference runs against that provider account. Connecting a key is optional and is not required to start.

You may stop using ACP at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or use the service in a way that creates a security or legal risk for us or other users.

On termination, we will provide a reasonable opportunity to export your projects and data. After that period we may delete stored data, except where retention is required by law.

ACP is provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that the outputs of AI agents will be fit for any particular purpose.

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or related to the service is limited to the amount you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

Some jurisdictions do not allow the limitation of certain damages; in those cases the limitations above apply to the maximum extent permitted by applicable law.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, notify you by email or in-product. Continued use after a material change indicates acceptance; if you do not accept, stop using the service and contact us to close your account.
